woom LLC (“woom”, “we”) 8301 Springdale Rd, Ste. 800, Austin, TX 78724, United States offers customers the opportunity to receive rewards toward future purchases on woom.com by referring new customers (the “Program”) in accordance with these Terms & Conditions. The Program is provided by Friendbuy, Inc., 925 N La Brea Ave 4th Floor, Los Angeles, CA 90038 (“Platform Provider”). If you participate in the Program you thereby accept these Terms and Conditions (the “T&Cs”). In addition you are subject to woom´s other relevant terms and policies, Terms of Use and Privacy Policy.

• Qualified Referral. A Qualified Referral is defined as a purchase of any woom bicycle made at www.woom.com by a person who meets the following criteria  (1) they are referred by a Referrer, (2) they are a first-time purchaser on woom.com; and (3) they arrive to our website by clicking the Program provided by Referrer and (4) the purchase is a Qualified Bike Purchase ("Referred Friend").  You are limited to one Qualified Referral for each Referred Friend; in other words, additional/repeat purchases made by a Referred Friend are not counted as additional Qualified Referrals.
• Referred Friend. The Referred Friend and the Referrer cannot be the same person (for example, by using a different email address) or from the same household, must be 18 years old and located in the United States.
• Friends Reward.  Referred Friends will receive a $25 OFF Coupon Code for any Qualified Purchase that can be used at checkout (the “Friends  Reward”). 
• Qualified Bike Purchase: A Qualified Bike Purchase is a purchase that includes any woom bicycle and meets any other conditions set forth in these terms and conditions.
• Referral Rewards. Referrers are eligible to earn a $25 Gift Card referral reward as a Referrer (“Referral Reward”) for each Qualified Referral. The Gift Card can be used for purchases on the woom website under the condition that the Referrer spends a minimum total amount in a single order (before all fees including taxes, discounts, shipping, returns, chargebacks, and/or other third party fees) of $25 for each Gift Card used in that purchase. Gift Cards are stackable and can be applied together with other discounts under the conditions set forth above. The maximum Qualified Referrals earned per calendar year may be no more than 50 Qualified Referrals. 
• Return of Products from a Qualified Referral. woom reserves the right to withdraw the applicable Referral Reward if an order that is part of a Qualified Referral is returned to woom or canceled within thirty (30) days of the date of purchase by the Referred Friend. Referral Rewards are awarded after we have verified that a Referred Customer has completed a qualifying activity. There will be a reasonable delay between completion of a qualifying activity and when the Gift Card is emailed to the Referrer.
• Eligibility. Eligibility is limited to individuals located in the United States only. Participants (Referrers and Referred Friends, as defined herein) must be at least 18 years old. In addition, all Referrers must be legally permitted to provide the personal information (e.g., name and email address) of each Referred Friend. The Program cannot be used by corporate entities, businesses or teams.
• No Spam. You must comply with all up-to-date “SPAM” laws. For example, emails must be created and distributed in a personal manner and bulk email distribution is strongly discouraged. Any distribution of your referral link that could constitute unsolicited commercial email or "spam" under any applicable law or regulation is expressly prohibited and will be grounds for immediate termination of your account and exclusion from woom´s Refer-a-Friend program. You will indemnify and hold woom, its directors, officers, employees, shareholders, agents and successors harmless, from and against any claims that may arise from any unlawful forwarding or sharing of the referral link.
• Right to Close Accounts. woom reserves the right to close the account(s) of any Referrer and/or Referred Friend and to request proper payment if the Referrer and/or Referred Friend attempts to use the woom Refer-a-Friend program in a questionable manner or breaches any of these Terms & Conditions or is in violation of any law, statute or governmental regulation.
• Right to Cancel Program or Change Terms. woom reserves the right to cancel the Refer-a-Friend Program or to change these Terms & Conditions at any time in its sole discretion. Any unclaimed referral rewards will be forfeited at that time.
• Additional Terms, Conditions, Exclusions, and Restrictions. All Friends and Referral Rewards are provided “AS IS” with no cash redemption or substitution. Federal, state or local taxes on Referral and Friend Rewards, if any, and any other costs, fees or expenses not expressly included as part of Referral Rewards are your sole responsibility. You are responsible for paying applicable taxes, if any, on the value of the Reward(s) we issue to you. Additional terms, conditions, exclusions, and restrictions may apply to Rewards or your use of Rewards.
